Regulatory:

• Member of the Committee appointed by the Government to review the new Land Acts and propose amendments as well as prepare the forms and regulations required to implement the Acts.
• Legal Advisor together with Deloitte in the review of the state corporations in Kenya.
• Advising Barclays Bank and Kenya Tea Development Agency on the restructuring of the assets of the Kenya Tea Development Authority.
• Consultant in a study commissioned by Financial Sector Deepening (FSD), the World Bank and the Central Bank of Kenya on the cost of Collateralisation in Kenya. 
• Legal advisor in the Restructuring and Revival of Uchumi Supermarkets Limited.

 

Raising Capital-Rights Issue:

• Acting for Gulf African Bank Limited in the Shareholders Agreement with IFC following the acquisition by IFC of approximately 16% stake in the Bank. Acting also for the Bank in the preparation of an Employee Share Options Scheme.
• Acting for Family Bank in a rights issue to meet bank capitalisation requirements and in the share sale and subscription agreements to various investors.
• Acting for Jamii Bora Bank in the issue of K.Shs. 1.0 Billion Bond by way of private placement.
• Acting for Kenya Commercial Bank Limited, one of Kenya’s top 3 banks and listed on the Nairobi Stock Exchange in connection with (a) its rights issue of K.Shs. 5.5 billion through the public (b) in the cross-listing of the Bank on the Uganda Stock Exchange and the Dar-es-Salaam Stock Exchange and (c) the setting up an Employee Share Ownership Plan.

 

Mergers and Acquisitions:

• Acting for Family Bank and for Founder Shareholders in sale of shares to KTDA and other institutional investors;
• Acting for Equity Bank Limited and BAICL as transaction legal adviser in the acquisition of the shares of CDC in Housing Finance as a private transaction.
• Acting for Equity Bank Limited as transaction legal adviser in the increase of its share capital and issuing of bonus shares to its shareholders.
• Acting for Equity Bank Limited as transaction legal adviser in the listing of its shares at the Nairobi Stock Exchange by way of an introduction to a listing.

 

Commercial Work:

• Acting for Kenya Commercial Bank Limited in the acquisition of new banking software from Temenos SA of Switzerland.
• Acting for Housing Finance in the acquisition of new banking software from Intrasoft International - a Greek consortium.

 

Real Estate - Residential - High End and Middle Income Developments:

Acting in several high-end and middle income residential developments including the following:

• Loresho Springs – acting for Hajar Services Limited in the development and sale of 120 flats in Loresho;
• Thompsons Glade – acting for British American Insurance Company (Kenya) Limited in the sale of 28 upmarket apartments;
• Bombax Estate – a joint venture development off Mombasa Road;
• Kahawa Downs – a joint venture developments between the owner and Housing Finance
• Windy Ridge – acting for Kenya Commercial Bank and the developers in the construction of 19 townhouses in Karen;
• Westgate Shopping Mall – investigating title, drawing all property letting and management agreements as well as templates for leases and licence agreements for all shops, offices, food courts, shops and car parks;
• Dalani Villas – acting for Nyamarando Investments Limited in the development of high rent town houses in Lavington;
• Northwood Villas – acting for Northwood Developers in the construction and sale of 10 luxurious townhouses in Karen. We also acted for the respective financiers as well as the purchasers in the collateralization process;
• Mbugani Villas – acting for Hajar Services Limited in the construction and sale of 14 deluxe town houses in Runda. We also acted for the respective financiers as well as the purchasers in the collateralization process;
• Woodside Villas and Taiwood Villas – acting for Hajar Services Limited in the development of 20 exclusive town houses in Karen. We also acted for the respective financiers as well as the purchasers in the collateralization process;

 

Real Estate - Residential - High End and Commercial Developments:

Acting in several high end commercial development projects such as:

• Safari Golf - Acting for Bingham Holdings, UK - in the acquisition of land and setting up of a tented tourist camp and golf resort in the Masai Mara; advising on the various legal and regulatory requirements with regard to the acquisition; ensuring the necessary approvals were sought from the correct regulatory bodies such as NEMA and the Ministry of Tourism; dealing with the Investment Promotion Centre for purposes of licensing and obtaining the correct entry permits needed.
• Crossroads Karen - Acting for a Chargee in the sale of a shopping mall
• Uniafric House - Acting in the financing and structuring of the purchase of Uniafric House a commercial building within the CBD. 
• Bulk Oil Storage Facility - Acting on behalf of Kenya Commercial Bank Limited and The Eastern and Southern African Trade and Development Bank (PTA) in the sale by private treaty of bulk oil storage facility in Mombasa.
