Martha Muturi joined the firm’s corporate and commercial department in 2006. She specialises in corporate and commercial work, mergers and acquisitions including cross-border acquisitions, conveyancing and property law, insurance law, employment law and general legal regulatory work. 

Notable transactions in which Martha has been involved in include:

  • Currently acting as a member of the legal team, in the restructuring of the businesses of a Kenyan company and its two sister companies through the sale of their businesses and assets and the eventual acquisition of a majority stake in the holding company by a new investor into the company.
  • Assisting the lead partner in the acquisition of 50% of shares in Fairview Hotel Limited, Nairobi by City Lodge Hotels Limited of South Africa
  • Acted as part of the legal team in the provision of legal services to BOA West Africa, a company registered in Cote d’Ivoire, in the acquisition of the shares of Amalgamated Bank Limited in Ghana.
  • Acting for a number of the firm’s banking clients in security matters including advising on and the preparation of security documentation for both retail and corporate borrowers, applying for and obtaining the relevant regulatory approvals and procurement of all consents and procuring registration at the relevant registries.
  • Assisted, as part of the legal team, in conducting a legal due diligence exercise on behalf of Oryx Oil and Gas in its proposed acquisition of Chevron Kenya Limited
  • Acting as part of the legal team in the provision of legal services to GEMS Ex Menasa Limited in relation to the setting up of an appropriate vehicle to own and run a private school and in the creation of a Lease over the school premises
  • Acting for Fairview Hotel Limited in the purchase of a parcel of Land from Two Rivers Development Limited in the Two Rivers Development, a mixed use development comprising of retail, entertainment and lifestyle facilities, modern office parks, residential apartments, hotels and public amenities, for purposes of the development of a proposed 150 – 180 room City Lodge Hotel.
  • Acting for Bank of Africa and Art-Caffe Coffee & Bakery Limited in relation to the preparation and review of leases in various branches and outlets that the clients have in different parts of the country and the City of Nairobi, respectively.Assisted the Senior Partner in advising on various aspects of the applicable laws in connection with the development of a private commercial commuter rail network proposed to be owned, constructed and operated by a private project company by contracting a private sector operator
  • Assisting the Senior Partner in relation to a continuous monitoring and response programme on the Tobacco Industry and legislation in Kenya which entailed giving an initial overview of the key provisions of the Tobacco Control Act 2007
  • Assisted the Senior Partner in carrying out an insurance compliance risks overview for Africa International Legal Services (Pty) Limited (AIG South Africa Limited) a task which involved summarising the relevant statutory provisions relating to the compliance by insurance companies
  • Assisted as part of the legal team in the summary of the Consumer Protection Bill which is intended to provide for the protection of the consumer and prevent unfair trade practices in consumer transactions and in particular to the banking sector
